Terms and Conditions
THESE TERMS AND CONDITIONS CONTAIN A BINDING ARBITRATION PROVISION WHICH MAY BE ENFORCED BY THE PARTIES PURSUANT TO NEBRASKA LAW.
SECTION 1. DEFINITIONS AND AGREEMENT TO TERMS
1.1 Parties and Entity Shield.
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (collectively, “you,”“your,” or the “Client”), and Insignia Cultural Endeavors, L.L.C. (“Company,”“we,”“us,” or “our”).
(a) Scope of Application for Site Visitors. This agreement governs your baseline access to and use of the https://icultural.net/ website, its subpages, and related media channels (collectively, the “Site”). By accessing or browsing the Site, you agree to abide by basic digital conduct standards and intellectual property protections outlined herein. Casual browsing of the Site does not, on its own, establish a formal professional Company-Client relationship.
(b) Scope of Application for Active Clients. This agreement applies in its entirety to any individual, person, or entity who completes a booking, submits a Service inquiry, or purchases, schedules, attends, or otherwise participates in any virtual or in-person classes, appointments, workshops, or other professional offerings provided by the Company.
(c) Explicit User Categorization Note. For the purposes of clarity and regulatory compliance under Nebraska law, a strict operational distinction is maintained between casual Site Visitors and active Clients. The robust professional disclaimers, warranty exclusions, and financial payout caps detailed throughout these Terms and Conditions apply specifically to active Clients who engage with the Company or initiate Service inquiries.
(d) “As Is” Provision for Professional Services. The Client explicitly acknowledges and agrees that all professional Services provided by the Company—including but not limited to consulting, coaching, responding to inquiries, translating, editing, revising, commenting on translations or revisions, offering linguistic and cultural expertise, tutoring, and providing academic, linguistic, cultural, and/or yoga/physical/pranayama instruction (collectively, the “Services”)—are delivered strictly on an “as is” and “as available” basis. Active participation in the Company’s Services, or downstream operational reliance on deliverables, is pursued at the Client’s sole contractual, financial, and personal risk.
1.2 Scope of Services.
You agree that by accessing the Site and booking, paying for, and participating in any virtual or in-person Services provided by the Company, you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms and conditions, then you are expressly prohibited from using the Site and participating in the Company’s Services and you must discontinue use immediately.
1.3 Supplemental Terms and Modifications.
Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. Apart from information relevant to payment and cancellations, which are strictly locked and governed by the version of these Terms active at the exact time you execute your booking, we will alert you about any changes by updating the “Last updated” date of these Terms and Conditions, and you waive any right to receive specific notice of each such change.
1.4 Client Copy and Archival Duty.
Because these Terms and Conditions—including but not limited to liability waivers and cancellation and refund policies—and applicable pricing frameworks are locked and governed by the exact version in effect at the time of your booking, payment, or digital execution, the Client is explicitly instructed and urged to print, download, or save a complete copy of these Terms and Conditions for their permanent personal records. The Company is under no obligation to maintain historical, personalized archives of prior versions on a per-client basis, and the Client agrees that maintaining a personal record of the agreed-upon Terms and Conditions at the time of contract execution is their sole responsibility.
SECTION 2. INTELLECTUAL PROPERTY RIGHTS
2.1 Ownership of Company Property.
Unless otherwise indicated, and apart from the website host’s proprietary claims to template structures, source code, or infrastructure data, the Site and any virtual and in-person Service provided by the Company are our proprietary property. This includes, but is not limited to: all source code, databases, website designs, audio, video, text, photographs, graphics, proprietary educational curricula, translation frameworks, custom debriefing worksheets, slide decks, and digital or physical handouts distributed during virtual or in-person sessions (collectively, the “Content”), as well as the trademarks, Service marks, and logos contained therein (the “Marks”). The Content and Marks are owned or controlled by Insignia Cultural Endeavors, L.L.C., or licensed to us, and are protected by copyright, trademark, and unfair competition laws of the United States, the State of Nebraska, and international conventions.
2.2 Limited Personal License.
The Content and the Marks are provided to you “AS IS” for your information, personal enrichment, and non-commercial educational use only. Except as expressly provided in these Terms and Conditions, no part of the Site, Services, or session-specific Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial or competitive purpose whatsoever, without our express prior written permission.
2.3 Post-Session Restrictions.
For the avoidance of doubt, the delivery of custom translation assets, educational tutoring materials, or consultation viewpoints does not transfer ownership of the underlying intellectual property to the Client. You are strictly prohibited from using the Company’s proprietary methodologies or materials to create derivative works, commercial courses, or competing consulting ventures. Unless explicitly modified or transferred pursuant to a separate, signed written agreement or Statement of Work executed between the Company and the Client, all deliverables remain subject to the limited personal license noted in these Terms and Conditions; provided, however, that in all events the Company retains sole and exclusive ownership of its pre-existing intellectual property, proprietary methodologies, translation frameworks, and general know-how.
SECTION 3. USER REPRESENTATIONS & ELIGIBILITY
3.1 Age and Legal Capacity.
By accessing the Site, executing a booking, or participating in the Company’s Services, you represent, warrant, and covenant that:
(a) You are at least nineteen (19) years of age and possess the full legal capacity and statutory authority to enter into a binding commercial agreement or contract under Nebraska law; or
(b) If you are under nineteen (19) years of age, you are accessing the Site under the direct supervision and with the express, written consent of a parent or legal guardian who has agreed to be bound by these Terms and Conditions. Services are not offered to minors under the age of 19 years.
3.2 Operational and Contact Warranties.
You further represent and warrant that:
(a) All registration, contact, billing, and scheduling information and correspondence you submit to the Site or directly to the Company through other means is true, accurate, current, and complete;
(b) You will maintain the accuracy of such information and promptly update it as necessary;
(c) You have the legal capacity and you agree to comply with these Terms and Conditions;
(d) You will not access the Site or book Services through automated or non-human means, whether through a bot, script, scraper, or otherwise; and
(e) You will not utilize the Site or the Company’s consultation, education, or translation Services for any illegal or unauthorized purpose, nor will your use of the Site or the Company’s Services violate any applicable local, state, federal, or international law or regulation.
SECTION 4. PROHIBITED ACTIVITIES
4.1 Authorized Use Boundaries.
You may only access and use the Site and the Company’s Services for the explicit purposes for which we make them available. Except as expressly authorized under a separate digital or physical written Service agreement or contract issued by Insignia Cultural Endeavors, L.L.C., the Site, our Content and Marks, and our Services may not be used in connection with any unauthorized commercial endeavors or competitive activities.
4.2 Restricted Digital Activities.
As a user of the Site, Services, and our connected communication platforms, you explicitly agree not to:
(a) Systematically retrieve data, research abstracts, or other content from the Site or our Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us;
(b) Make any unauthorized use of the Site or our Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses;
(c) Circumvent, disable, or otherwise interfere with security-related features of the Site, booking systems, or communication channels;
(d) Engage in unauthorized framing of or linking to the Site, or attempt to impersonate another user; and
(e) Interfere with, disrupt, or create an undue burden on the Site, our private channels (on Discord or other platforms), or the infrastructures of networks or Services connected to the Site, our booking platforms, and other related virtual tools.
4.3 Session Conduct and Recording Restrictions.
To protect the proprietary methodologies of the Company and the mutual privacy of all participants, you explicitly agree that during any virtual or in-person Service session, you will not:
(a) Record, stream, screenshot, log, or capture any audio, video, or presentation content of a session through any digital or analog means without the express, prior written consent of the Company;
(b) Share private access links, server invitations, or session passwords with any unauthorized third party; and
(c) Engage in abusive, harassing, defamatory, or disruptive conduct toward Company personnel or other participants, whether inside virtual channels or at physical meeting venues. Breach of this subsection constitutes an immediate material breach of contract or agreement, authorizing the Company to terminate the session immediately with no financial liability or refund obligations.
SECTION 5. USER-GENERATED CONTRIBUTIONS & CLIENT DATA BOUNDARIES
5.1 Definition of Public Contributions.
This section applies strictly to content, data, reviews, or information that you intentionally post or submit to publicly accessible areas of the Site or our connected public communication channels (collectively, “Contributions”).
5.2 Public Contributions License.
You retain all ownership rights in your Contributions. However, by posting a public Contribution (such as a website testimonial or public review), you automatically grant to Insignia Cultural Endeavors, L.L.C. a non-exclusive, royalty-free, worldwide, perpetual license to host, use, copy, reproduce, publish, or display such text or media for commercial advertising and marketing purposes.
5.3 Absolute Exclusion of Private Client Data.
For the avoidance of doubt, the broad commercial license outlined above explicitly excludes any private documents, corporate texts, source manuscripts, intake questionnaires, or personal intake data submitted or transmitted by a Client to the Company for the purpose of receiving custom translation, education, or consulting Services. All private Client data will be handled securely and utilized solely to fulfill the contracted or agreed-upon Services.
5.4 Responsibility and Restrained Indemnification.
You remain solely responsible for your Contributions and your private submissions. You represent and warrant that you possess the necessary licenses, legal rights, and permissions to authorize the Company to utilize your submissions for the requested Services. To the extent permitted under Nebraska law, you agree to indemnify and hold harmless the Company from any third-party claims, losses, or legal liabilities arising directly out of a verified breach of third-party intellectual property rights or violations of law contained within your submitted materials.
SECTION 6. THIRD-PARTY PLATFORMS, VENUES, & CONTENT
6.1 External Hyperlinks and Unaffiliated Content.
The Site and our session correspondence may contain links to third-party websites (“Third-Party Websites”) as well as articles, research references, designs, or media belonging to or originating from third parties (“Third-Party Content”). Except where explicitly integrated into a paid, custom translation or consulting deliverable issued by Insignia Cultural Endeavors, L.L.C., such Third-Party Websites and Third-Party Content are not investigated, monitored, or endorsed for accuracy, safety, or completeness by us. The Company bears no legal liability or financial responsibility for any transactions, software downloads, or data collection occurring on Third-Party Websites.
6.2 Third-Party Service Platforms.
The Company utilizes third-party digital applications and communication software (including, but not limited to, WordPress, Google Meet, Microsoft Teams, and Discord) to coordinate bookings and host virtual video conferencing sessions. You acknowledge that the operational stability, data security protocols, and uptime of these platforms remain entirely outside the control of the Company. The Company is not responsible for any security breaches, software malfunctions, or system interruptions occurring on these third-party platforms.
6.3 Physical Meeting Venues.
For in-person consultations, education, or tutoring sessions conducted at public or commercial properties (such as local coffee shops, restaurants, or other public spaces), you agree that Insignia Cultural Endeavors, L.L.C. does not own, lease, operate, or maintain the physical premises. To the maximum extent permitted under Nebraska law, the Company explicitly disclaims all liability for any personal injury, property damage, slip-and-fall incidents, or third-party disruptions occurring at a physical venue during a scheduled meeting.
SECTION 7. ADMINISTRATIVE SITE MANAGEMENT & ACCOUNT CONTROL
7.1 Monitoring Rights.
Insignia Cultural Endeavors, L.L.C. reserves the right, but bears no legal obligation, to monitor the Site and our private digital channels for violations of these Terms and Conditions. The Company retains absolute authority to take appropriate legal, administrative, or technical action against any individual who, in our sole discretion, violates applicable laws or these Terms.
7.2 Public Moderation and Content Removal.
The Company reserves the right, in its sole and absolute discretion, to refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any public Contributions or user-posted content without prior notice or financial liability.
7.3 System Maintenance and Private Data Strain.
To facilitate the proper functioning of our servers, we reserve the right to remove or disable files that are excessive in size or are in any way technologically burdensome to our infrastructure.
(a) Public Submissions. Large or corrupted files uploaded to public areas may be removed immediately without notice.
(b) Private Client Assets. The Client is solely responsible for ensuring that all files, documents, and media submitted for translation, education, or consulting Services are complete, uncorrupted, virus-free, and provided in standard, accessible formats. If any submitted file is corrupt, oversized, unreadable, infected, or creates a technical or storage burden on the Company’s systems, the Company reserves the right, in its sole discretion and without prior notice, to delete, quarantine, or decline to process the file. The Company bears no liability for lost, unreadable, or deleted Client submissions, and the Client remains responsible for re-submitting viable files necessary for the completion of any requested Services. While the Company may, as a courtesy, attempt to notify the Client or make reasonable accommodations for unserviceable submissions, the Company makes no guarantee or binding commitment to do so.
7.4 Account Suspension and Service Termination.
A verified breach of our conduct or security rules authorizes the Company to suspend or terminate your access to the Site or virtual session channels immediately. For a Client with active, scheduled sessions, termination based on a behavioral or security breach will be executed in accordance with the strict safety and non-refund boundaries outlined in these Terms and Conditions.
SECTION 8. PLATFORM MODIFICATIONS, DOWNTIME, & SERVICE INTERRUPTIONS
8.1 Right to Modify Platforms.
Insignia Cultural Endeavors, L.L.C. reserves the right to change, revise, update, suspend, or modify the Site, our booking layouts, or our digital communication channels at any time or for any operational reason. For general site browsing, content access, or informational pages, these updates may be executed without prior notice or liability to you.
8.2 General Website Downtime Disclaimers.
You agree that the Company bears no financial liability or legal responsibility for any loss, damage, or inconvenience caused by your inability to access or use the Site during unexpected server downtime, routine technical maintenance, or platform discontinuance. Nothing in these Terms will be construed to obligate the Company to maintain continuous, uninterrupted web hosting or to supply immediate software corrections.
8.3 Disruptions to Scheduled Client Sessions.
The liability exclusions outlined above apply strictly to general website access and explicitly exclude scheduled, paid client interactions.
(a) Client-Side Technical Issues. Disruptions, lateness, or missed sessions caused by hardware, software, or connectivity failures on the Client’s end remain strictly subject to a 0% refund (no refund) status, as outlined in our unified Cancellation and Refund Policy.
(b) Provider-Side System Failures. In the rare event that a scheduled session cannot be conducted or completed due to a total server failure, website crash, or technical disruption originating entirely on the Company’s side (or within our chosen hosting infrastructure), the Company will notify the Client via email as soon as possible. In alignment with our standard operating protocol, rescheduling the Service remains the default remedy at no additional cost. Financial refunds will only be evaluated and issued via icultural.net@gmail.com if a rebooking is deemed entirely unfeasible or structurally impractical. No punitive damages or secondary inconvenience fees will be evaluated, honored, or paid.
SECTION 9. GOVERNING LAW, JURISDICTION, & MANDATORY ARBITRATION
THESE TERMS AND CONDITIONS CONTAIN A BINDING ARBITRATION PROVISION WHICH MAY BE ENFORCED BY THE PARTIES PURSUANT TO NEBRASKA LAW.
9.1 Governing Law.
These Terms and Conditions, your use of the Site, and all virtual or in-person Services provided by the Company shall be governed by, interpreted, and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law principles. This agreement shall be treated as an agreement made and entirely performed within the State of Nebraska.
9.2 Binding Mandatory Arbitration.
Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, the Site, or the Services provided by the Company—which cannot be resolved informally—shall be submitted to and settled exclusively through binding arbitration in the City of Lincoln, Lancaster County, Nebraska, and administered in accordance with Nebraska law. The decision of the arbitrator shall be final, non-appealable, and binding upon all parties, and judgment upon the award rendered may be entered in any court having jurisdiction thereof.
9.3 Exclusive Forum and Venue.
To the maximum extent permitted by law, you explicitly agree that any legal action, suit, proceeding, or dispute arising out of or relating to these Terms, the Site, or the Company’s Services must be initiated and maintained exclusively in the state or federal courts located in Lancaster County, Nebraska.
9.4 Consent to Jurisdiction.
You hereby irrevocably consent and submit to the personal and exclusive jurisdiction of the state and federal courts of Lancaster County, Nebraska, for the purpose of litigating any such action, and you explicitly waive any objections to such forum based on inconvenient venue or improper venue.
SECTION 10. WARRANTY DISCLAIMERS & LIMITATION OF SCOPE
10.1 “As Is” Platform and Service Provision.
The Site, all virtual communication channels (such as communications via Gmail, Google Forms, Google Meet, Microsoft Teams, or Discord), and all professional consultation, education, or translation Services provided by the Company are delivered on an “AS IS” and “AS AVAILABLE” basis. You explicitly agree that your use of the Site and your participation in the Company’s Services will be at your sole risk. To the fullest extent permitted by law, Insignia Cultural Endeavors, L.L.C. disclaims all warranties, express or implied, in connection with the Site and Services, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10.2 Service Outcome and Deliverables Disclaimer.
While the Company provides consultation, education, and translation services based on the personal experience, academic background, and professional expertise of its personnel, the Company makes no absolute warranties or representations regarding Client satisfaction with final deliverables, or the specific academic, commercial, financial, physical, mental, psychological, or spiritual outcomes resulting from a session or asset. The Client bears sole responsibility for communicating clear project specifications prior to booking; accommodation to said specific requests will be considered, but fulfillment or specific subjective success is not guaranteed.
(a) Scope of Consultation Services. Throughout the delivery of the Company’s consultation services—including but not limited to reflective, coaching-focused Cultural Debriefing Sessions, Religious Debriefing Sessions, General Inquiries, Targeted Dialogue Sessions, and Chinese/English Language/Culture Support—the Company provides a structured process for personal reflection centered exclusively on the processing, contextualization, and retrospective discussion of cultural or linguistic experiences. For individual Chinese/English Language/Culture Support sessions, services are strictly limited to providing dialogue over contextual issues regarding the Chinese or English languages and the specific cultural contexts of the countries or regions utilizing those languages.
(b) Scope of Educational Services. Throughout the delivery of the Company’s educational services—including but not limited to informational talks, academic tutoring, language classes, yoga instruction, and pranayama sessions—the Company provides specialized skill-based instruction and related guidance. The Client acknowledges that these sessions are educational in nature and designed to facilitate independent learning and practice.
Yoga and related wellness Services are not a substitute for professional medical care and treatment. The information and instruction provided in these Services are not offered in substitute, replacement, or contraindication of sound medical advice or medical care. Service sessions are not intended to diagnose, treat, cure, or prevent any medical condition or illness. If the Client has medical concerns, injuries, or chronic conditions, they are strongly advised to contact a licensed physician before beginning any physical practice or wellness regimen.
(c) Scope of Translation Services. Throughout the delivery of the Company’s translation services—including but not limited to Chinese-to-English text translation, Chinese-to-English interpretation, post-machine/AI editing, translation revisions, and translation reviews—the Company provides linguistic conversion and optimization based on professional expertise. The Client acknowledges that language translation involves subjective stylistic choices and contextual nuances, and the delivery of a translation asset does not guarantee any specific commercial or administrative acceptance by third-party institutions.
(d) No Promise of Advancement or Metrics. The Company makes no promise of personal, professional, financial, physical/fitness, academic, or other types of advancement or measurable metrics. The Client explicitly acknowledges that these services make no representations, warranties, or promises regarding commercial, professional, business, academic, financial, physical, mental, or spiritual growth.
(e) No Promise of Personal Transformation. The Company makes no promise for a Client’s personal transformations, whether physical, mental, academic, spiritual, professional, commercial, financial, or otherwise. The Client further acknowledges that the Company does not guarantee, predict, or promise specific personal development, psychological breakthroughs, character optimization, or emotional milestones, nor does it guarantee or make promises for marked achievements for students of any academic subject, or physical milestones for physical instruction (including but not limited to yoga and pranayama).
(f) Definition of Experiential Value. In consultative and educational sessions, the value of the service is derived entirely from the experiential and reflective dialogue or instruction during the session itself. The Client is paying for the time, perspective, expertise, and collaborative space provided by the Company’s representatives. The absence of a permanent tangible asset, a marked grade increase, a physical achievement, a measurable psychological change, or a subjective spiritual breakthrough does not constitute a failure of performance, a lack of value, or a breach of contract by the Company.
10.3 Structural Liability Exclusions.
To the maximum extent permitted under Nebraska law, the Company assumes no legal liability or financial responsibility for any:
(a) Subjective errors, omissions, mistakes, or historical inaccuracies contained within educational materials, consulting viewpoint summaries, or translation drafts, for which the Client’s sole remedy is restricted to the rescheduling protocols outlined in these Terms and Conditions;
(b) Personal injury or property damage of any nature resulting entirely from your hardware setup, Client-side technical configurations, or occurrences at unaffiliated third-party physical venues or digital platforms; and
(c) Unauthorized access to or use of our third-party booking servers, database infrastructure, or any personal or financial information stored therein by external cyber-actors.
SECTION 11. GOVERNING LANGUAGE
11.1 Legal Controlling Language for Operations, Policies, Agreements, and Contracts.
The official, legally binding, and controlling language of the Company is American English (i.e., English as regularly used, interpreted, and understood in the United States), which applies to language governing these Terms and Conditions, your booking form selections, and any formal legal notices or contractual disputes between you and the Company as well as the language employed for the Company’s operations, policies, agreements, and contracts. In the event that these Terms or our core legal policies are translated into another language for user convenience, the native American English version shall strictly prevail and control in all legal proceedings and evaluations of contracts and agreements.
11.2 Authorized Languages for Service Delivery.
In alignment with our specialized consultation, education, and translation Services, the Company explicitly acknowledges that live sessions (conducted in-person or via platforms like Google Meet, Teams, or Discord) and custom deliverables may be conducted or provided in English, Mandarin Chinese, or a combination thereof.
(a) Original Source Text Authenticity. Where the Company is retained to perform Chinese-to-English translation or linguistic analysis, the original Chinese source documentation will be evaluated based on its native linguistic context.
(b) Deliverable Interpretation. Any final, authorized English translations delivered by the Company shall serve as the official, completed commercial asset for the Client’s business or academic use.
SECTION 12. INDEMNIFICATION & THIRD-PARTY LIABILITY SHIFT
12.1 Scope of Indemnification.
To the maximum extent permitted under Nebraska law, you agree to defend, indemnify, and hold harmless Insignia Cultural Endeavors, L.L.C., and its registered founders, officers, partners, and contracted agents from and against any documented third-party loss, financial damage, legal liability, claim, or demand, including reasonable and documented attorneys’ fees and court expenses, arising directly out of:
(a) Your verified breach of these Terms and Conditions or the specific session conduct rules outlined above;
(b) Any fraudulent, false, or misleading intake, identity, or scheduling information you submit to the Company; or
(c) Your violation of the intellectual property, copyright, or proprietary rights of a third party contained within source manuscripts, documents, or texts you transmit to the Company for translation or linguistic analysis.
12.2 Defense and Cooperation Boundaries.
Notwithstanding the provisions above, the Company reserves the right, at your reasonable and documented expense, to assume the exclusive defense and control of any third-party legal matter for which you are contractually required or otherwise obligated to indemnify us, to the extent caused by the indemnifying party’s acts or omissions, except where an actual conflict of interest prevents such shared representation under applicable rules of professional conduct. In such events, you agree to cooperate fully and in good faith with the Company’s legal counsel to facilitate the defense or settlement of such claims.
12.3 Negligence and Unwaivable Liability Exclusion.
The Client’s indemnification and hold-harmless obligations under these Terms and Conditions apply strictly to acts, omissions, or regulatory violations committed by the Client. Nothing in these Terms or any associated Liability Waiver shall be construed to require the Client to indemnify the Company, nor shall it waive, release, or limit the Company’s liability, for legal claims or damages resulting directly from the Company’s gross negligence, willful or wanton misconduct, intentional fraud, bad-faith execution, criminal acts, or any other liability that cannot be lawfully waived or limited under applicable Nebraska or federal law.
SECTION 13. LIMITATION OF LIABILITY, REMEDY CAPS, ERRORS, & OMISSIONS
13.1 Exclusion of Indirect and Consequential Damages. The Client acknowledges and agrees that all professional Services provided by the Company are delivered on an “as is” and “as available” basis.
(a) To the maximum extent permitted under Nebraska law, the Client explicitly agrees to waive, release, and covenant not to sue the Company, its registered founders, owners, employees, or contracted instructors for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, financial losses, or physical injuries resulting from ordinary errors, inadvertent omissions, professional misjudgments, administrative or clerical mistakes, or delays occurring during the good-faith performance of the Services; accordingly, the Company bears no legal responsibility for any financial loss, business disruption, physical injury, personal distress, psychological strain, emotional discomfort, or academic anxiety incurred by the Client due to the operational use, implementation, or reliance upon any delivered products, materials, or Services. This broad exclusion includes, but is not limited to: lost business profits, lost commercial revenue, loss of academic credits or grades, data corruption, or personal travel inconveniences, even if the Company has been advised of the possibility of such damages.
(b) This waiver applies solely to claims grounded in ordinary negligence or mistakes made in good faith; nothing within these Terms and Conditions shall operate to limit, exclude, or waive the Company’s liability for actions constituting gross negligence, willful misconduct, or intentional wrongdoing. If any portion of this section is held invalid or unenforceable by a court of competent jurisdiction within the State of Nebraska, that specific provision shall be severed, and the remaining provisions limiting liability for good-faith errors and omissions shall remain in full force and effect.
13.2 Maximum Financial Payout Cap.
Notwithstanding anything contained herein to the contrary, the total collective liability of the Company to you for any cause of action whatsoever—and regardless of the formal legal theory, action, or accusation brought against us (including claims of breach of contract or agreement, simple negligence, or professional oversight)—will at all times be strictly capped and limited to a maximum recovery amount equal to:
(a) For One-Off Sessions (including Weekend Retreats). The exact fee paid by you to the Company for the single, specific session giving rise to the dispute;
(b) For Long-Term Contracted Consulting. The total cumulative fees actually invoiced by the Company and paid by the Client under the specific agreed upon project milestone or statement of work (SOW) directly associated with the alleged dispute within the three (3) month period immediately preceding the date the claim arose; or
(c) For Multi-Week or Other Instructional Packages. The pro-rated, individual session value of the single disputed class or session within the Client’s booked package.
13.3 Multi-Week Package Operational & Expiration Clauses.
For a Client booking multi-week packages (including, but not limited to, 4-session, 8-session, 12-session, or 16-session yoga or physical training series), the following terms strictly apply:
(a) Fixed Expiration Window. To maintain curriculum consistency, all multi-week packages must be fully utilized within an absolute timeframe equal to the length of the package plus a maximum four (4) week buffer (e.g., a 12-session yoga package expires completely sixteen (16) weeks after the initial session). Any unused sessions after this window are permanently forfeited with a 0% refund (no refund) status.
(b) Mid-Package Cancellation. Once a multi-week package begins, the Client enters an active, non-refundable contract or agreement. If the Client decides to withdraw from the package mid-way due to personal schedule changes, loss of interest, or unexcused absences, no pro-rated refunds or financial rollbacks will be issued by the LLC.
(c) Medical Exceptions. In strict compliance with Nebraska consumer protection standards, if a Client is medically unable to complete a physical yoga package due to a verified injury or illness, the LLC will freeze the remaining package balance for up to six (6) months upon receipt of a documented medical notice sent to icultural.net@gmail.com. Rescheduling remains the standard operating protocol, and refunds will only be evaluated if a future rebooking is deemed entirely unfeasible or structurally impractical.
(d) Discretionary Emergency Exceptions. Outside of the standard medical freeze protocol outlined above, partial or pro-rated refunds for multi-session packages may be considered on a strict case-by-case basis solely in the event of an extraordinary, documented emergency. The evaluation, approval, or denial of any such request remains within the sole and absolute discretion of the Company. Any single exception granted under this sub-point shall operate strictly as a one-time courtesy and shall not establish a binding precedent or waive the Company’s right to strictly enforce its standard non-refundable policies against the same Client or other clients in the future.
13.4 Acknowledgment of Independent Responsibility and Rights.
The Client affirms that they have read this provision, understand they are giving up substantial legal rights, and agree to it freely, voluntarily, and without coercion. For Services involving physical movement (e.g., yoga), the Client affirms they have secured appropriate medical clearance. For Services involving technical deliverables (e.g., translation, tutoring, or consulting), the Client agrees it is their independent responsibility to review, audit, and verify the final deliverables prior to downstream operational use.
13.5 Jurisdictional Variance.
You acknowledge that certain state and federal consumer protection statutes do not allow the total exclusion of implied warranties or the limitation of specific damages. If these regional consumer laws apply to you, some or all of the above disclaimers or financial caps may not apply, and you may possess additional legal rights under applicable state statutory frameworks.
13.6 Inspection and Acceptance Window.
For all linguistic, translation, editing, or technical deliverables, the Client is granted an absolute inspection window of ten (10) business days following electronic delivery to audit and verify the accuracy of the work. If the Client fails to notify the Company of a specific linguistic error or discrepancy in writing within this 10-day window, the product is contractually deemed permanently accepted, verified, and complete, and the Company is completely released from any subsequent claims of errors or omissions.
SECTION 14. SERVICE DELIVERY & REFUND ELIGIBILITY FRAMEWORK
14.1 Acceptance of Operational Policies.
By executing a booking, submitting an intake form, or processing a payment, the Client explicitly agrees to be bound by these Terms and Conditions and the unified Cancellation and Refund Policy of Insignia Cultural Endeavors, L.L.C. Financial refunds shall only be evaluated and processed provided the Client strictly adheres to the stated notification timeframes and guidelines outlined therein.
14.2 “As Is” Service Delivery and Scope.
All consulting, translation, and educational Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied.
(a) Deliverable Satisfaction. To the maximum extent permitted by law, the Company disclaims all implied warranties, including but not limited to subjective Client satisfaction with final expressed consultation viewpoints, translation drafts, linguistic advice, instructional results or other deliverables.
(b) Specification Responsibility. The Client bears sole responsibility for communicating clear project requests and contextual specifications prior to executing a booking. While reasonable accommodations to such specifications will be considered, fulfillment of said requests or specifications is not guaranteed.
14.3 Operational Disruptions and Cancellations.
Applicable remedies for Service delivery disruptions are divided strictly by the originating cause:
(a) Provider-Side System Disruptions. In the event a scheduled session or translation delivery cannot be completed due to technical difficulties, personal emergencies, or unforeseen server outages originating entirely on the Company’s end, reasonable accommodations will be made. In all such cases, rescheduling the Service remains the standard operating protocol. Financial refunds will only be evaluated and issued if an alternative rebooking is deemed entirely unfeasible or structurally impractical by the Company.
(b) Client-Side Disruptions and Failures. Except as otherwise explicitly provided under the multi-week package medical provisions above, no refunds, credits, or fee adjustments will be issued for sessions missed, delayed, or disrupted due to technical difficulties, hardware glitches, internet drops, or personal schedule conflicts on the Client’s end. Any exceptions to this Client-side restriction remain at the sole and absolute discretion of the Company and may require documented emergency evidence submitted to icultural.net@gmail.com.
(c) Discretionary Emergency Exceptions.

SECTION 16. ADDITIONAL OPERATIONAL POLICIES FOR SERVICES
16.1 Scope of Service Policies.
The operational policies outlined in this section apply explicitly to all virtual and in-person (face-to-face) Services delivered by Insignia Cultural Endeavors, L.L.C., including but not limited to consulting/coaching sessions, yoga instruction, academic classes, cultural lectures, and linguistic tutoring. By executing a booking or purchasing a session package, the Client explicitly agrees to adhere to these binding operating protocols as applicable to the specific medium of delivery for their scheduled session.
16.2 Client Specifications & Medical Clearance.
The Client bears sole responsibility for communicating clear project requests, contextual specifications, and any physical limitations, injuries, or medical conditions prior to executing a booking. Yoga and pranayama (breath control exercises) involve physical exertion; Clients should consult a physician before beginning any new physical program. The instructor reserves the right to modify movements or refuse Service if a Client exhibits signs of injury or illness that make physical practice unsafe. Accommodation to specific requests will be considered, but fulfillment is not guaranteed.
16.3 In-Person Venue Designation and Cost Allocation.
Except for in-home yoga, pranayama, or other educational sessions related to health or physical movement, in-person sessions shall take place by default at the Company’s designated meeting place as stipulated in the booking process.
(a) Except for for in-home yoga, pranayama, or other educational sessions related to health or physical movement, the Client may request an alternative meeting location, which must be strictly limited to an accessible, non-residential, public commercial space, including professional offices, public coworking day rooms, cafes, or restaurants. The Company has the right to explicitly refuse to enter or conduct business within any venue.
(b) Approval of an alternative venue is within the sole discretion of the Company. Any and all facility rentals, room booking fees, food and beverage minimums, parking fees, or secondary operational expenses incurred by utilizing a Client-selected alternative venue shall be borne at the sole expense of the Client.
(c) Universal Assumption of Environmental Risk. The Client explicitly acknowledges and agrees that the Company may not own, lease, operate, or maintain any physical control over the public commercial spaces utilized for in-person Services (including, but not limited to, libraries, cafes, offices, or restaurants). Accordingly, regardless of whether the venue was selected by the Company or the Client, the Client assumes all risks regarding ambient noise, acoustic confidentiality, third-party proximity, visual data exposure, and general premises conditions. The Company bears no legal responsibility and is completely released from any liability for financial losses, business disruptions, physical injuries (including slip-and-falls on the premises), personal distress, psychological strain, emotional discomfort, or third-party interference arising out of or relating to the environmental or structural conditions of the meeting venue.
16.4 Venue, Equipment, and Pet Requirements.
For in-home sessions or sessions held at venues provided by the Client, the Client is entirely responsible for providing a clean, safe, and professional space sufficient for physical or academic instruction.
(a) Equipment. For yoga classes, the Client must provide their own yoga mat, blocks, strap, bolster cushion, and any other props required for the session. For classes, lectures, tutoring or other educational Services, a suitable, distraction-free learning environment must be provided.
(b) Pet Policy. For safety and focus, all household pets must be put away or otherwise securely enclosed prior to the instructor’s arrival. Any unexpected, uninvited, or disruptive contact with pets before, during, or after a session authorizes the instructor to depart the premises immediately, resulting in the immediate, non-refundable cancellation of the remaining session time.
16.5 Personal Space, Physical Contact, and Professional Boundaries.
To maintain absolute safety, comfort, and professional integrity, physical contact during any Service provided by the Company is governed by the following guidelines:
(a) Instructional Touch & Social Greetings. Standard operating procedure for all Services provided by the Company (including but not limited to yoga, movement, and breathwork instruction) is to utilize verbal cues, visual demonstrations, and vocal instructions while avoiding tactile contact or physical adjustments wherever practical. Physical adjustments during all Services (including but limited to yoga, movement, or breathwork sessions) are entirely optional and consent-based. The instructor may offer gentle hands-on tactile alignment, structural guidance, or customary professional greetings only when appropriate and mutually agreeable.
(i) Client Opt-Out. While standard operating procedure utilizes verbal cues rather than tactile contact for all Services, tactile contact and physical alignment adjustments remain strictly optional across all Services. The Client retains the absolute right to opt out of tactile contact or physical adjustments at any time (verbally prior to or during a session, or in writing). Upon notice of an opt-out, the instructor will rely exclusively on verbal and visual instruction.
(ii) Incidental & Social Contact. While standard operating procedure utilizes verbal cues rather than tactile contact for all Services, prior to an explicit opt-out, the Client agrees that customary professional greetings, gentle tactile instructional cues, or minor, incidental physical contact occurring naturally within the flow of instruction do not constitute a boundary violation, personal injury, or breach of these Terms and Conditions. In the event of inadvertent physical contact following an opt-out, the Client agrees to promptly inform the instructor so immediate correction can be made, and acknowledges that minor, non-malicious inadvertent contact does not constitute an intentional breach or battery.
(b) Boundary Violations & Zero Tolerance. The Company maintains a strict zero-tolerance policy for boundary violations. Any intentional, aggressive, unwanted sexual advance, or otherwise inappropriate physical contact by either party constitutes an immediate material breach of these Terms and Conditions.
(i) Instructor Remedies. If a Client engages in inappropriate conduct or violates the instructor’s boundaries, the instructor reserves the right to terminate the session and depart the premises immediately. Such termination results in the immediate forfeiture of all fees paid for the session, without prejudice to any legal remedies available under Nebraska law.
(ii) Client Protections. If a Client feels their boundaries have been violated, they retain the absolute right to halt the session immediately and receive a prompt, fair review under the Company’s operational policies and relevant legal frameworks.
(c) Emergency Care and Lifesaving Procedures. In the event of a sudden medical emergency, acute physical trauma, or life-threatening event occurring during a session—including but not limited to cardiac arrest, loss of consciousness, respiratory distress, choking, bone fractures, joint dislocations, deep lacerations, or severe bleeding—the Client explicitly authorizes the instructor or Company personnel to render immediate emergency first aid, perform CPR, deploy an Automated External Defibrillator (AED), apply pressure dressings/tourniquets, immobilize injuries, or contact emergency medical services (911).
(i) Trauma-Related Contact & Clothing Removal. The Client acknowledges and agrees that emergency first aid, trauma response, bleeding control, and AED deployment may require immediate, unannounced physical contact and the necessary loosening, displacement, cutting, or removal of any clothing, footwear, or accessories to expose injury sites, apply medical devices, or control hemorrhaging.
(ii) Limitation of Action. The Client agrees that emergency lifesaving actions, trauma interventions, Good Samaritan care, or necessary physical contact rendered in good faith during a medical or physical emergency do not constitute a boundary violation, intentional breach, personal injury, or battery under these Terms and Conditions or Nebraska law.
16.6 Safety & Audio/Video Recording Consent.
For quality assurance, mutual liability protection, and safety control, the Client explicitly grants consent for the Company to record sessions via audio or video. This recording authority applies strictly within the immediate, face-to-face instructional area from the moment instruction begins through its final conclusion, ensuring complete compliance with Nebraska communication laws.
16.7 Data Storage, Infrastructure Cloud Hosting, and Analytics.
By executing a booking, submitting an intake form, or processing a payment, the Client explicitly agrees to the following data infrastructure boundaries:
(a) Third-Party Cloud Infrastructure. You agree that your registration information, booking details, scheduling records, and billing data may be securely stored, hosted, and processed on third-party software applications, server structures, or cloud-based hosting platforms utilized by the Company (including, but not limited to, WordPress, Google Forms, and payment processor networks).
(b) System Optimization & Anonymized Analytics. You acknowledge and agree that non-identifiable system data, website traffic metrics, scheduling timestamps, and anonymized metadata may be subject to artificial intelligence (AI) processing, machine learning models, or big-data analysis for the sole purposes of automated fraud detection, scheduling optimization, website security maintenance, and macro-level business analytics.
(c) Absolute AI Training Exclusion for Client Materials. For the avoidance of doubt, and in alignment with the strict Client data boundaries outlined in these Terms and Conditions, the Company explicitly guarantees that private Client data—including original source manuscripts, translation drafts, linguistic notes, or personal coaching transcripts—shall never be uploaded to, processed by, or exposed to public or third-party artificial intelligence engines for generative AI model training, data harvesting, or algorithmic Service improvement. All such proprietary materials remain strictly confidential.
16.8 Geographic Travel Boundaries, Promptness, and Time Windows.
Standard in-person rates apply strictly to physical venues located within the designated city limits of Lincoln, Nebraska (USA).
(a) Travel Surcharges. Requests for sessions outside this core geographic zone are subject to additional travel surcharges or minimum group requirements, which must be explicitly approved by the Company prior to booking confirmation.
(b) Late Arrivals. Sessions will begin and end promptly at the scheduled time. If a Client is late or the physical space is not prepared upon the instructor’s arrival, that lost time will be deducted directly from the scheduled instructional or practice window. Session fees will not be prorated, discounted, or credited for lost time due to Client-side delays.
16.9 Age Restrictions and Eligibility.
Insignia Cultural Endeavors, L.L.C. provides its consultation, education, and instructional Services exclusively to individuals who have reached the full legal age of majority in the State of Nebraska. By executing a booking, submitting an intake form, or processing a payment, the Client explicitly represents and warrants that they are at least nineteen (19) years of age. The Company does not accept registrations from or enter into contracts or agreements with minors under the age of nineteen. Discovery of an unauthorized booking under this age limit will result in the immediate termination of the session and the forfeiture of all associated fees.
16.10 Accompanying Minors Policy.
Registered Clients may bring a minor child to a virtual or in-person sessions, appointment, class, or other servcie under the following conditions:
(a) Disruption. The Company and host venue reserve the right to ask a Client and their accompanying minor to leave if the minor causes a disruption to the class or appointment.
(b) Supervision. The minor must remain under the continuous, active supervision of the parent or legal guardian at all times. This applies to both physical premises and live online sessions.
(c) Consent and Liability. By bringing a minor to a session, the Client provides full parental consent for their presence and assumes total liability for the minor’s safety and conduct.
(d) Financial Responsibility. The Client accepts full financial liability and responsibility for any property damage, disruptions, or financial loss caused by the accompanying minor during the session.
(e) Disruption and Forfeiture of Fees. If an accompanying minor causes a disruption, or if the Client is asked to leave the premises or disconnect from an online session due to the minor’s behavior, causing the session to be discontinued, canceled, or otherwise unable to proceed, no refunds or credits will be issued to the Client. The Client remains fully responsible for the total cost of the scheduled session.
16.11 Administrative Boundaries.
All Services are strictly bounded by the scope outlined in the specific statement of work or session booking. Unauthorized or excessive out-of-session communications—including multi-paragraph text messages, unscheduled phone calls, or rolling translation revisions—are not included in the standard fee. The Company reserves the right to bill these additional administrative tasks at our standard hourly rate of $100/hr, or refuse to respond entirely until a new session is formally booked.
SECTION 17. NATURE OF SERVICES & PROFESSIONAL SCOPE DISCLAIMER
17.1 Non-Clinical Educational and Consultative Boundary.
All virtual and in-person Services delivered by Insignia Cultural Endeavors, L.L.C. are strictly non-clinical, non-medical, non-therapeutic, educational, consultative, subjective, experience-based, coaching-oriented, supportive, and instructional in nature. While Services may include professional yoga and pranayama (breath control exercises) instruction from a certified instructor, they do not constitute, and are never a substitute for, therapy of any kind or professional mental health counseling, psychotherapy, psychological consultation, psychiatric care, clinical therapy, medical treatment, or physical therapy. They must not be construed, assumed, or promoted by Clients as such.
17.2 Professional Credentials Acknowledgment.
By booking a session or participating in the Company’s Services, you explicitly acknowledge and agree that your instructor or consultant is acting exclusively as a certified yoga instructor and cultural consultant. The Company and its personnel are not licensed medical professionals, clinical therapists, mental health counselors, physical therapists, or accredited academic public-school educators.
17.3 Client Well-Being and Personal Responsibility.
The Company strongly encourages any Client who requires psychological evaluation, clinical diagnosis, mental health treatment, specialized therapeutic counseling, medical rehabilitation, or accredited academic schooling to seek out a qualified, licensed healthcare professional or accredited institution within those respective fields.
(a) Medical and Emotional Distress. If you are experiencing severe emotional distress, psychological trauma, physical injury, clinical medical challenges, or other diagnosable conditions or other professionally treatable states, you agree to promptly seek the care of a licensed healthcare, medical, psychiatric, or relevant service provider.
(b) Absolute Personal Liability. You assume full, independent responsibility for your own psychological, emotional, and physical well-being before, during, and after all virtual and in-person sessions.
SECTION 18. SAFETY-BASED SESSION TERMINATION & DISCRETIONARY REFUNDS
18.1 Right to Terminate for Unsafe Environments.
Insignia Cultural Endeavors, L.L.C. reserves the right to immediately suspend, cancel, or terminate any virtual or in-person Service if the requested session cannot be safely, legally, or practically executed. In-person engagements may be immediately terminated and the instructor may depart the premises without prior notice if the instructor determines, in their professional judgment, that the physical environment is unsafe, threatening, hostile, security-compromised, or otherwise ill-advised for professional engagement.
18.2 Non-Discrimination Commitment.
Notwithstanding the right to terminate due to unsafe environments or related security considerations, the Company operates in strict compliance with all applicable Nebraska state and federal public accommodation laws. Services will never be canceled, terminated, or denied based upon immutable characteristics or protected classes, including but not limited to race, color, religion, creed, national origin, ancestry, age, sex, sexual orientation, gender identity, or physical or mental disability.
18.3 Material Breach and Fee Forfeiture Boundaries.
Applicable remedies following an emergency or safety-based termination are governed strictly by the root cause of the disruption:
(a) Client-Side Safety Violations. If a session is terminated because the Client or their guests actively violate the conduct boundaries, pet enclosures, or age restrictions, the Client shall be deemed in material breach of contract or agreement. In such events, all pre-paid fees for unrendered time are permanently forfeited to the Company as liquidated damages, and any issuance of a partial credit remains entirely at the sole discretion of the Company.
(b) External or Environment-Based Hazards. If an in-person session must be terminated due to unexpected external safety factors or environmental hazards outside the immediate control of either party (such as sudden extreme weather or building structural failures), the Company will follow the rescheduling frameworks outlined in these Terms and Conditions.
(c) Provider-Side Disruptions. In the event of a session cancellation caused entirely by instructor illness, a personal emergency, or an unexpected provider-side disruption, rescheduling the Service remains the standard operating protocol. A financial refund will only be evaluated and issued via icultural.net@gmail.com if an alternative rebooking date is deemed entirely unfeasible or structurally impractical by the Company.
SECTION 19. MANDATORY LIABILITY WAIVER & RELEASE REQUIREMENTS
19.1 Pre-Condition of Service Delivery.
Participation in any physical, energetic, or instructional Services provided by the Company—including but not limited to virtual or in-person group classes, private consulting or coaching sessions, workshops, pranayama (breathwork), meditation, or other physical training regimens—is strictly conditioned upon the successful execution of a formal, written Release of Liability and Assumption of Risk Agreement (the “Waiver”).
19.2 Execution Timeline and Verification. The Client must securely execute and submit this separate, durable Waiver prior to or during their initial instructional session (or as an embedded prerequisite during the booking process).
(a) Service Withholding. Participation in any active session will be strictly withheld, and future booking access or session entry suspended or revoked, until a completed Waiver is verified by the Company. Participation will be similarly withheld if the Company determines that a Waiver was executed using incomplete, false, or invalid identifying information, until valid legal execution is verified.
(b) Fee Forfeiture for Non-Execution. If a session is terminated or canceled because a Client fails or refuses to validly execute the mandatory Waiver during booking or at the scheduled start time, the session will be treated as a Client-side late cancellation subject to full fee forfeiture (0% refund) pursuant to the Cancellation and Refund Policy provisions set forth herein.
19.3 Method of Digital Execution.
The Company explicitly authorizes and accepts electronic (or digital) execution of the durable Waiver, including but not limited to checking a mandatory acknowledgment box or typing a full legal name into a text input field on online forms (e.g., Google Forms) or website booking interface. By checking a mandatory acknowledgment box or typing your full name into an input field, you agree that you are intentionally executing these Terms and Conditions and the Waiver document. You explicitly consent to conduct the transaction electronically and agree that these digital actions carry the exact same binding legal validity and enforceability as a handwritten signature.
19.4 Durable and Ongoing Validity. Once executed, the Waiver is durable, prospective, and legally binding across all timelines. It governs the initial session and all subsequent, future virtual, recorded, or physical sessions attended by the Client, without requiring a new document to be signed at each individual booking.
19.5 Termination or Amendment Restrictions.
The executed Waiver shall remain in full force and effect indefinitely unless and until both parties explicitly execute a mutual written statement declaring the original Waiver void or modified.
(a) Verbal Invalidation Prohibited. A Client’s verbal revocation, a prolonged absence from instruction, or a sudden change in the Service delivery medium (such as transitioning from an online Discord stream to an in-person venue in Lincoln) shall not invalidate, weaken, or terminate the active legal terms of the executed Waiver.
(b) Independent Structural Survival. General structural modifications or updates to the Company’s overall Terms and Conditions page shall not automatically alter, weaken, or release the Client from the specific liability waivers previously executed under this section.
Section 20. PAYMENT METHODS & PROCESSING FEES
20.1 Mandatory Digital Payment.
All payments to the Company must be made electronically through the Company’s designated online payment gateway or via digital bank transfer (ACH or Wire) as indicated during the booking process.
20.2 Paper Check Penalty.
The Company does not accept physical mail or paper checks for standard invoice settlements. In the event the Client issues a physical paper check, the Client shall be assessed a non-refundable $50.00 USD administrative processing fee per check.
20.3 Application of Fees.
Any administrative fees incurred will be automatically added to the Client’s next invoice or billed as a separate line item. The Company reserves the right to withhold deliverables or suspend services until both the administrative fee and the original invoice balance are cleared in full via digital payment.
20.4 Fees and Mandatory Taxes.
The stated price for a Service is the base fee. Any applicable mandatory sales taxes, Value Added Tax (VAT), Goods and Services Tax (GST), or other government taxes or levies required by law are determined entirely by the Client’s local jurisdiction—not by the Company. Any such taxes required by the Client’s jurisdiction will be calculated automatically and added to the final invoice at checkout. The payment of these jurisdictional taxes is the sole legal responsibility of the Client.
20.5 Anti-Chargeback Provision.
The Client explicitly agrees that the billing parameters utilized during booking are final. By entering into this Agreement, the Client waives all rights to initiate a credit card chargeback, merchant dispute, or payment reversal through their banking institution regarding any delivered Services. In the event of a fee dispute, the Client agrees to seek resolution exclusively through the Company’s standard refund and case-by-case emergency channels outlined in these Terms and Conditions.
SECTION 21. MISCELLANEOUS PROVISIONS
21.1 Entire Agreement.
These Terms and Conditions, together with the Liability Waiver and any other policies, operating rules, or booking forms posted by the Company on the Site, constitute the entire agreement and understanding between you (the Client) and Insignia Cultural Endeavors, L.L.C. This agreement supersedes and replaces all prior or contemporaneous oral or written communications, proposals, representations, promises, or understandings between the parties relating to the subject matter herein.
21.2 Severability.
If any provision or part of a provision of these Terms and Conditions, together with the Liability Waiver and any other policies, operating rules, or booking forms posted by the Company on the Site, is determined by a court of competent jurisdiction to be unlawful, void, or unenforceable, that specific provision or part thereof shall be deemed severable from these Terms and Conditions. Such determination shall not affect the validity, legality, and enforceability of any of the remaining provisions, which shall remain in full force and effect.
21.3 Amendments and Modifications.
The Company reserves the right to update, revise, or modify these Terms and Conditions and related policies at any time. Any updates or revisions will become effective immediately upon posting to the Company’s official website or upon direct written notice to the Client. Continued booking, attendance, or utilization of Company services following notice of modified Terms and Conditions constitutes the Client’s binding acceptance of the updated Terms and Conditions.
21.4 Survival of Provisions.
Any provisions of these Terms and Conditions which by their nature are intended to survive termination, cancellation, or expiration—including but not limited to provisions governing Intellectual Property, Limitation of Liability, Indemnification, Client Cancellations and Refunds, Boundary Violations, Mandatory Arbitration, Governing Law, and Payment Obligations—shall survive any termination or expiration of these Terms and Conditions and remain fully enforceable.
21.5 Force Majeure.
Neither party shall be held liable or responsible for any failure or delay in performance under these Terms and Conditions resulting from acts or events beyond their reasonable control, including but not limited to acts of God, severe weather, natural disasters, epidemics, power outages, government orders, facility closures, civil unrest, or emergency situations. Performance timelines shall be extended for a period equal to the duration of the Force Majeure event, or rescheduled pursuant to the Cancellation and Refund Policy provisions set forth herein.
SECTION 22. NON-WAIVER & NON-ASSIGNMENT
22.1 No Implied Waiver.
No failure or delay by the Company in exercising any right under these Terms and Conditions shall operate as a waiver thereof.
22.2 No Assignment.
The Client may not assign or transfer any rights or obligations under these Terms and Conditions without prior written consent, while the Company may freely assign its rights in connection with a reorganization, merger, or asset transfer.
22.3 Scope of Exceptions.
A waiver of any breach or default of any provision of these Terms and Conditions on one occasion shall not be deemed a waiver of any subsequent breach or default, nor shall it affect the Company’s right to strictly enforce such provision at any future time or against any other client.
22.4 Enforcement at Sole Discretion.
The enforcement of any provision, penalty, or remedy contained within these Terms and Conditions is executed entirely at the Company’s sole discretion. The Company reserves the right to waive or omit the enforcement of any condition in any specific instance without notice, and doing so shall not eliminate or diminish the Company’s right to strictly enforce that same condition, or any other condition, in the future.
SECTION 23. CONTACT CHANNELS & COMPLAINT RESOLUTION
